These Terms of Service govern access to and use of omniagentic.com, the Omni Agentic product, including Omni Agentic for GDS, and any related features, software interfaces, demonstrations, pilot functionality, and services.

Omni Agentic is a product of Omni Reasoning.

Omni Reasoning is developed and operated by Serhii Hryhorash, an individual entrepreneur registered in Ukraine, referred to in these Terms as “Omni Reasoning,” “we,” “our,” or “us.”

Any individual accessing or using the website or product is referred to as a “User.”

If the product is accessed or used on behalf of a company, travel agency, organization, or other legal entity, that entity is referred to as the “Customer.”

By creating an account, clicking to accept these Terms, participating in a pilot, or using the product after being presented with these Terms, the User agrees to be bound by them.

Access to publicly available website content is also subject to the provisions of these Terms that relate to the website, intellectual property, permitted use, disclaimers, and liability.

If a User accesses or uses the product on behalf of a Customer, the User represents that they have sufficient authority to bind the Customer to these Terms.

A User who does not agree to these Terms must not access or use the product.

1. Omni Reasoning and Omni Agentic

Omni Reasoning develops and operates technology products involving artificial intelligence, automation, agentic systems, workflow management, and interaction with third-party software.

Omni Agentic is a software product of Omni Reasoning.

Omni Agentic may include separate modules, features, and operating modes, including:

  • Omni Agentic for GDS;
  • interfaces for interacting with agentic systems;
  • tools for analyzing and generating commands;
  • workflow automation tools;
  • browser interaction tools;
  • user-input processing tools;
  • logging, audit, and control tools;
  • experimental, demonstration, preview, evaluation, or pilot functionality.

Not all functionality is available to every User.

Available functionality may depend on:

  • product configuration;
  • account type;
  • subscription or commercial plan;
  • pilot agreement;
  • Customer settings;
  • jurisdiction;
  • technical limitations;
  • security requirements;
  • third-party permissions;
  • separate written agreements.

2. Purpose of the Website

The website provides information about Omni Reasoning, Omni Agentic, related technologies, products, projects, and business activities.

Certain areas of the website may provide:

  • access to the product;
  • user accounts;
  • demonstration functionality;
  • pilot functionality;
  • contact forms;
  • application or lead-generation forms;
  • access to documentation;
  • limited software services.

Information published on public website pages does not, by itself, constitute:

  • a binding commercial offer;
  • a guarantee that access to a product will be provided;
  • a guarantee that a particular feature will remain available;
  • a commitment to deliver functionality by a particular date;
  • a guarantee that an agreement will be entered into;
  • legal, financial, medical, regulatory, or other professional advice.

Pricing, scope, support, service levels, licensing rights, and other commercial terms may be governed by a separate written agreement, order form, pilot agreement, proposal, invoice, or other commercial document.

3. Right to Use

Subject to compliance with these Terms, Omni Reasoning grants the User a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to use the website and available product functionality for lawful professional, informational, evaluation, or internal business purposes.

This right to use:

  • does not transfer ownership;
  • does not provide access to source code;
  • does not grant rights in any third-party system;
  • does not grant the right to automate a third-party system without the required authorization;
  • does not permit resale or provision of the product to third parties;
  • does not permit use outside the scope authorized by the Customer;
  • may be restricted, suspended, or terminated in accordance with these Terms.

4. Accounts and Access

The User must provide accurate and current information where required to create or use an account.

The User must:

  • protect account credentials;
  • use appropriate authentication safeguards;
  • prevent access by unauthorized persons;
  • notify Omni Reasoning promptly of any suspected account compromise;
  • stop using the product after losing the relevant authority or permission;
  • comply with restrictions established by the Customer;
  • use the product only within the scope of the User’s assigned role and permissions.

The User must not:

  • use another person’s account without authorization;
  • impersonate another person;
  • conceal their identity in order to bypass restrictions;
  • create additional accounts to evade suspension or termination;
  • transfer, lease, sublicense, or resell access to the product;
  • use shared accounts unless expressly supported by the product configuration;
  • allow an unauthorized person to use an active authenticated session.

The Customer is responsible for the actions of its employees, contractors, agents, and other persons to whom it provides access.

The Customer must promptly revoke access where a User no longer requires or is no longer authorized to use the product.

5. Artificial Intelligence and Automated Outputs

Omni Agentic may use artificial intelligence, machine learning, language models, algorithmic rules, and automated decision-support systems.

Outputs generated by these systems may be:

  • incomplete;
  • inaccurate;
  • outdated;
  • incorrectly interpreted;
  • unsuitable for a particular situation;
  • dependent on the quality of User input;
  • dependent on the availability, behavior, or output of third-party systems.

The User must not assume that an automatically generated output is correct, complete, or suitable for the intended purpose.

The User must review and validate outputs before relying on them, particularly where an output may result in:

  • a financial obligation;
  • a booking;
  • a cancellation;
  • a fare change;
  • ticket issuance or reissuance;
  • modification of personal data;
  • formation of a contract;
  • disclosure of information to a third party;
  • any other significant or irreversible action.

Omni Agentic is an assistive tool and does not replace the User’s professional judgment, contractual obligations, or responsibility for business decisions.

6. User Control and Confirmation

Certain actions may require explicit User confirmation.

Confirmation may be required:

  • before every action;
  • before irreversible actions;
  • before financially significant actions;
  • before information is sent to an external system;
  • before actions affecting third-party rights or obligations;
  • in other circumstances determined by the product configuration.

Before providing confirmation, the User must review:

  • the proposed command or action;
  • the accuracy of the relevant data;
  • the expected result;
  • whether the User has the required authority;
  • whether the action complies with applicable rules;
  • the foreseeable consequences of the action.

The fact that confirmation is requested or obtained does not guarantee:

  • that the action is correct;
  • that the action is permitted by the third-party provider;
  • that the action will succeed;
  • that the action will have no additional consequences;
  • that the action complies with the User’s or Customer’s agreement with a third party.

The User’s review or confirmation of an action does not make Omni Reasoning liable for the User’s business decision, but it does not exclude liability for the product executing an action materially different from the action presented to and confirmed by the User.

7. Omni Agentic for GDS

Omni Agentic for GDS is an Omni Agentic module designed to assist authorized travel-industry professionals.

Omni Agentic for GDS may assist the User by:

  • interpreting natural-language requests;
  • generating commands for global distribution systems;
  • validating parameters and action sequences;
  • analyzing results supplied by the User;
  • proposing subsequent actions;
  • identifying likely errors;
  • performing permitted actions where the relevant functionality, rights, and permissions are available.

Omni Agentic for GDS is not:

  • a global distribution system;
  • a travel agency;
  • an airline;
  • a carrier;
  • a hotel;
  • a travel-service provider;
  • an official Amadeus product;
  • the authoritative source of a final booking, ticket, fare, availability, or transaction status.

8. No Affiliation with Third-Party Systems

Unless expressly established by a separate written agreement, Omni Reasoning and Omni Agentic are not a division, agent, representative, reseller, certified partner, authorized integration provider, or official provider of Amadeus or any other third-party system.

Reference to any third-party product, system, interface, company, or trademark does not imply:

  • partnership;
  • endorsement;
  • certification;
  • compatibility;
  • authorization;
  • approval;
  • the grant of any additional rights.

All third-party names, trademarks, interfaces, software products, and associated rights remain the property of their respective owners.

9. Modes of Interaction with Third-Party Systems

Omni Agentic may support one or more modes of interaction with third-party systems.

9.1. Manual Guidance Mode

In Manual Guidance Mode, the product may:

  • generate a command;
  • generate an instruction;
  • provide a recommendation;
  • explain an expected result.

The User independently:

  • reviews the output;
  • transfers or enters the command;
  • submits the command;
  • performs the action in the third-party system.

In Manual Guidance Mode, Omni Agentic does not submit the command to the third-party system on behalf of the User.

9.2. Confirmed Execution Mode

In Confirmed Execution Mode, the product may prepare an action and execute it after receiving the User’s explicit confirmation.

The User acknowledges that such execution remains software-based or automated interaction with a third-party system.

Manual confirmation does not mean that automated execution is authorized by the owner of the third-party system.

The User may use this mode only where the necessary contractual rights, technical permissions, and other required authorizations have been obtained.

9.3. Automated Execution Mode

In Automated Execution Mode, the product may perform certain actions or sequences of actions without confirmation before every individual step.

This mode may be used only where use of the relevant functionality is permitted by:

  • the User’s or Customer’s agreement with the third-party provider;
  • the third-party provider’s rules and policies;
  • separate written authorization;
  • an official application programming interface or approved integration channel;
  • applicable law.

9.4. Observation Mode

In Observation Mode, the product may analyze information displayed by a third-party system without performing actions in that system.

The User acknowledges that automated reading, monitoring, analysis, or extraction of information may also be governed or restricted by the agreement and policies of the third-party provider.

9.5. Availability of Modes

Not all modes are available to every User.

Omni Reasoning may:

  • change the available mode;
  • set Manual Guidance Mode as the default;
  • require additional confirmations;
  • restrict particular commands or workflows;
  • disable Observation Mode;
  • disable browser control;
  • disable automated execution;
  • place the product into guidance-only operation;
  • restrict functionality for a particular Customer, User, third-party system, or jurisdiction.

10. Rights and Permissions for Third-Party Systems

The User represents that the User:

  • has a lawful right to use the relevant third-party system;
  • uses their own account or an account properly assigned to them;
  • has the required professional authority;
  • has the right to process the relevant data;
  • complies with the agreements, policies, instructions, and restrictions of the third-party provider;
  • does not provide Omni Agentic with greater rights than the User possesses;
  • has obtained any required authorization for automation, monitoring, browser control, or integration.

The Customer is responsible for determining whether use of the relevant functionality is permitted under its agreements with the relevant third-party provider.

Omni Reasoning is not a party to any agreement between the User or Customer and a third-party provider.

Use of Omni Agentic does not grant the User or Customer:

  • a license to use a third-party system;
  • a right to automate a third-party system;
  • a right to monitor or extract data;
  • a right to bypass restrictions;
  • a right to use another person’s credentials;
  • any authority beyond that granted by the owner of the third-party system.

11. No Modification of Third-Party Software

Omni Agentic is not designed or intended to:

  • modify third-party source code or executable code;
  • patch, replace, alter, or create derivative versions of third-party software;
  • decompile third-party software;
  • disassemble third-party software;
  • reverse engineer third-party software;
  • bypass authentication;
  • bypass multi-factor authentication;
  • bypass access controls;
  • bypass technical restrictions;
  • interfere with security mechanisms;
  • introduce malicious code;
  • disrupt the availability, integrity, or operation of a third-party system.

Use of standard browser functionality does not, by itself, provide any additional contractual or legal right to automate, monitor, access, or interact with a third-party system.

12. Prohibited Use

The User must not use the website or product to:

  • violate applicable law;
  • gain unauthorized access;
  • use another person’s credentials without authorization;
  • bypass authentication, technical restrictions, or access controls;
  • violate the rules, policies, or agreements of a third-party provider;
  • conceal automated activity where disclosure is required;
  • create fictitious, fraudulent, speculative, abusive, or duplicate bookings;
  • perform unlawful or unauthorized financial transactions;
  • extract data at scale without authorization;
  • impose excessive load on infrastructure;
  • interfere with the operation of the website or a third-party system;
  • introduce viruses, trojans, malware, or other harmful code;
  • test vulnerabilities without written authorization;
  • bypass rate limits, command limits, or transaction limits;
  • evade a suspension, restriction, or termination;
  • violate sanctions or export-control restrictions;
  • infringe intellectual property rights;
  • violate privacy or data-protection rights;
  • harass, defraud, mislead, or deceive another person;
  • develop a competing product through unauthorized copying, extraction, or reverse engineering;
  • resell, sublicense, or provide the product to third parties without authorization.

The User must also not continue use of the relevant functionality after receiving a direction to stop from:

  • Omni Reasoning;
  • the owner of the third-party system;
  • an authorized public authority;
  • the Customer;
  • any other person lawfully entitled to issue such a direction.

13. Verification of GDS Operations

The User must independently verify, directly in the relevant GDS or supplier system:

  • passenger names and details;
  • dates;
  • routes;
  • origin and destination points;
  • fares;
  • currency;
  • taxes and fees;
  • seat availability;
  • baggage allowances;
  • refund rules;
  • exchange rules;
  • penalties;
  • travel-document details;
  • booking status;
  • ticket status;
  • payment status;
  • transaction completion.

Any message displayed by Omni Agentic stating “successful,” “completed,” “confirmed,” “finished,” or similar wording reflects only the technical processing status within the product.

The authoritative source of final status is the relevant GDS, carrier, hotel, payment provider, or other service supplier.

14. Third-Party Credentials and Sessions

The User must not provide Omni Agentic with credentials for a third-party system unless the relevant method of credential processing is expressly supported by the product, documentation, or a separate agreement.

Omni Agentic is not intended to:

  • obtain access without the involvement of an authorized User;
  • bypass multi-factor authentication;
  • create additional access rights;
  • continue using a session after authorization has been revoked;
  • secretly collect or transmit passwords;
  • transfer credentials between independent organizations.

The User must immediately stop using the relevant functionality if:

  • access is revoked;
  • the User’s employment, contractual authority, or role ends;
  • the third-party account is suspended;
  • compromise is suspected;
  • the third-party provider requires use to stop;
  • the Customer withdraws authorization.

15. Personal Data and Passenger Data

The User may provide the product with personal data, including passenger data.

Such data may include:

  • first and last names;
  • contact details;
  • travel itinerary information;
  • booking information;
  • travel-document information;
  • other information required for the relevant operation.

The Customer is responsible for:

  • having a lawful basis for collecting, processing, and transferring the data;
  • providing all required notices to data subjects;
  • obtaining any required consent;
  • ensuring that its processing instructions are lawful;
  • complying with applicable data-protection requirements;
  • limiting access to authorized persons;
  • ensuring that data submitted to the product is relevant and necessary.

The processing of personal data is governed by the Privacy Policy and, where applicable, a separate Data Processing Agreement.

The User must not provide personal data that is not reasonably required for the relevant operation.

The User must not use the product to process highly sensitive or special-category data unless that processing is expressly authorized by the product documentation and a separate written agreement.

16. Logging and Audit

For security, error investigation, execution control, compliance, and dispute resolution, Omni Reasoning may maintain logs containing:

  • User actions;
  • generated commands;
  • confirmations;
  • rejected actions;
  • execution modes;
  • timestamps and action sequences;
  • technical statuses;
  • errors;
  • operation or transaction identifiers;
  • execution results;
  • security-related information.

Logs do not guarantee a complete reconstruction of every event.

Log contents, retention periods, and the processing of personal data are governed by the Privacy Policy, product documentation, and any applicable agreement.

The User must not:

  • alter logs;
  • delete logs outside authorized procedures;
  • interfere with logging;
  • use the product to conceal User actions;
  • attempt to cause a false or misleading audit record.

17. Security

The User must use the product responsibly and securely.

The User must:

  • comply with security instructions;
  • use supported devices and browsers;
  • maintain the User’s own systems in a reasonably secure and updated condition;
  • restrict access to authorized persons;
  • report suspected security incidents promptly;
  • not disable, bypass, or interfere with protective controls.

Omni Reasoning may apply:

  • rate limits;
  • command or transaction limits;
  • mandatory confirmation;
  • command restrictions;
  • User restrictions;
  • temporary suspension;
  • session revocation;
  • additional verification;
  • forced transition to Manual Guidance Mode;
  • organization-wide or system-wide emergency controls.

18. Experimental, Evaluation, and Pilot Functionality

Certain functionality may be provided as:

  • experimental;
  • preliminary;
  • evaluation;
  • test;
  • pilot;
  • beta;
  • preview functionality.

Such functionality may:

  • operate unpredictably;
  • contain errors;
  • change without prior notice;
  • receive limited support;
  • be disabled;
  • be unsuitable for production use;
  • provide no guarantee of data preservation;
  • have no guaranteed service level or availability.

Unless otherwise agreed in writing, the User must not rely on experimental, evaluation, preview, or pilot functionality as the sole means of performing a critical operation.

19. Changes to and Suspension of Functionality

Omni Reasoning may, at any time:

  • modify the product;
  • add or remove functionality;
  • change operating modes;
  • restrict integrations;
  • introduce additional checks;
  • suspend access;
  • stop supporting a particular third-party system;
  • disable browser control;
  • disable automated execution;
  • move Users to Manual Guidance Mode;
  • discontinue all or part of the product.

Restriction or suspension may occur without prior notice where reasonably necessary to:

  • prevent a security threat;
  • prevent unauthorized use;
  • comply with law;
  • respond to a request or complaint from a third-party provider;
  • prevent harm;
  • investigate an incident;
  • protect Users;
  • protect Omni Reasoning;
  • protect third parties;
  • preserve the integrity or availability of the product.

To the maximum extent permitted by law, Omni Reasoning is not liable for losses caused by a good-faith restriction, suspension, or disabling of functionality for these purposes.

20. Obligation to Stop Use

The User must immediately stop use of the relevant functionality if:

  • the owner of the third-party system requires it;
  • the User’s or Customer’s agreement prohibits it;
  • the User’s access is suspended or revoked;
  • use of the relevant functionality creates a risk of unauthorized activity;
  • use of the relevant functionality may cause harm;
  • Omni Reasoning disables the relevant functionality;
  • continued use would violate applicable law.

The User must not bypass such a restriction through technical, organizational, contractual, or other means.

21. Third-Party Systems and External Links

The website and product may interact with third-party:

  • websites;
  • browsers;
  • global distribution systems;
  • application programming interfaces;
  • artificial-intelligence models;
  • cloud services;
  • infrastructure providers;
  • products and services.

Omni Reasoning does not control and does not guarantee:

  • the availability of a third-party system;
  • its security;
  • its operation;
  • continued compatibility;
  • the stability of its user interface;
  • the stability of its application programming interface;
  • acceptance of a particular command;
  • preservation of the User’s third-party account;
  • compliance with the User’s or Customer’s individual agreement with the third-party provider.

Use of a third-party system is governed by that system’s own terms, policies, and agreements.

22. Intellectual Property

Unless expressly stated otherwise, all rights in the website and product, including:

  • software;
  • source code;
  • object code;
  • interfaces;
  • design;
  • graphics;
  • text;
  • documentation;
  • trade names and product names;
  • logos;
  • algorithms;
  • methods;
  • workflows;
  • configurations;
  • tests;
  • demonstration materials;
  • product structure and organization,

are owned by Omni Reasoning or lawfully used by Omni Reasoning.

Without prior written permission, the User must not:

  • copy the product;
  • modify the product;
  • create derivative works;
  • distribute the product;
  • sell or sublicense the product;
  • transfer the product;
  • publish source code;
  • decompile the product;
  • reverse engineer the product;
  • bypass license restrictions;
  • extract substantial parts of the product;
  • use the product to create a competing solution.

These Terms do not transfer ownership of the product to the User or Customer.

23. User Data and Materials

The User or Customer retains any rights lawfully held in data and materials submitted to the product.

The User and Customer grant Omni Reasoning a limited right to process such data as reasonably necessary to:

  • provide the product;
  • execute the User’s instructions;
  • maintain security;
  • prevent abuse;
  • investigate and correct errors;
  • comply with law;
  • perform applicable contractual obligations.

The User represents that the User has all rights, permissions, and lawful grounds required to provide such data.

The User must not provide:

  • unlawful material;
  • harmful code;
  • material infringing third-party rights;
  • data that the User has no right to process;
  • information whose use would violate contractual obligations.

24. Suggestions and Feedback

Where the User voluntarily provides ideas, suggestions, comments, or recommendations concerning the product, Omni Reasoning may use them to develop or improve the product without an obligation to pay compensation, unless otherwise agreed in writing.

This section does not grant Omni Reasoning rights in confidential information provided under a separate confidentiality agreement.

25. Confidential Information

Access to non-public functionality, documentation, or information may be provided on a confidential basis.

The User must not disclose to third parties:

  • non-public documentation;
  • technical information;
  • security configurations;
  • private demonstration materials;
  • test results;
  • commercial terms;
  • information designated as confidential;
  • information that should reasonably be understood to be confidential.

A separate confidentiality agreement takes priority in relation to the information it governs.

26. Disclaimer of Warranties

The website and product are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, Omni Reasoning disclaims all express, implied, and statutory warranties, including warranties of:

  • accuracy;
  • completeness;
  • availability;
  • uninterrupted operation;
  • security;
  • absence of errors;
  • fitness for a particular purpose;
  • merchantability;
  • non-infringement;
  • compatibility;
  • achievement of a particular business result;
  • compliance with the User’s or Customer’s individual agreement with a third-party provider.

Omni Reasoning does not guarantee that:

  • the product will always generate the correct command;
  • a third-party system will accept a command;
  • an operation will be completed;
  • the result will meet the User’s expectations;
  • a third-party system will not change its interface;
  • a third-party system will not restrict or suspend access;
  • automation, observation, browser control, or integration is permitted under the User’s or Customer’s contract;
  • errors will be corrected within a particular period.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Omni Reasoning, its operator, contractors, and suppliers are not liable for:

  • indirect losses;
  • incidental losses;
  • special losses;
  • punitive losses;
  • consequential losses;
  • loss of profit;
  • loss of revenue;
  • loss of business opportunity;
  • loss of customers;
  • reputational harm;
  • loss or corruption of data;
  • booking cancellations;
  • incorrect fares;
  • suspension of a third-party account;
  • penalties imposed by carriers, GDS providers, or other suppliers;
  • unavailability of a third-party system;
  • actions or omissions of third parties;
  • decisions made in reliance on automated output;
  • losses resulting from inaccurate information supplied by the User or Customer;
  • losses resulting from use of the product without the required rights or authorization.

For free, evaluation, preview, or unpaid pilot access, total aggregate liability arising out of or relating to the website, product, or use of the relevant functionality is limited to EUR 100.

For paid access, total aggregate liability arising out of or relating to the product or use of the relevant functionality is limited to the fees actually paid by the relevant Customer for the product during the twelve months preceding the event giving rise to the claim.

The liability limits in this section apply collectively to all claims arising from the same or related events and do not apply separately to each claim, User, or legal theory.

These limitations do not apply to the extent that they are prohibited by mandatory applicable law, including where liability for intentional misconduct, gross negligence, death, or personal injury cannot lawfully be limited.

28. Indemnification

To the maximum extent permitted by applicable law, the Customer agrees to indemnify and hold Omni Reasoning, its operator, contractors, and suppliers harmless from reasonable losses, liabilities, costs, expenses, and legal fees directly arising from:

  • use of the product without the necessary rights or permissions;
  • breach of these Terms;
  • breach of an agreement with a third-party provider;
  • unlawful conduct by the Customer’s Users;
  • fictitious, fraudulent, abusive, or prohibited operations;
  • infringement of third-party rights;
  • unlawful processing of personal data;
  • inaccurate or unlawful instructions submitted by the Customer or its Users;
  • a third-party claim caused by the conduct of the Customer or its Users.

This obligation does not apply to the extent that the relevant loss was directly caused by Omni Reasoning’s intentional misconduct or gross negligence.

29. Suspension and Termination

Omni Reasoning may suspend or terminate a User’s or Customer’s access where:

  • these Terms are breached;
  • a security risk exists;
  • a risk of harm exists;
  • use of the relevant functionality may be unlawful;
  • use of the relevant functionality may infringe third-party rights;
  • a third-party provider issues a request, complaint, or restriction;
  • the User attempts to bypass restrictions;
  • payment remains outstanding;
  • access was provided in error;
  • the product or relevant functionality is discontinued.

Upon termination, the User must stop using the product and any related credentials, sessions, or access methods.

Sections that by their nature should survive termination will remain effective, including provisions concerning intellectual property, confidentiality, disclaimers, liability, indemnification, data protection, and dispute resolution.

30. Commercial Terms

Pricing, term, license scope, support, service levels, usage limits, and other commercial terms may be established by:

  • an order form;
  • a pilot agreement;
  • a license agreement;
  • a proposal;
  • an invoice;
  • another written agreement.

Where these Terms conflict with a separately signed agreement, the separately signed agreement takes priority with respect to the subject matter it governs.

31. Order of Contractual Documents

Where applicable documents conflict, the following order of priority applies:

  1. a separately signed agreement;
  2. an order form or pilot agreement;
  3. a Data Processing Agreement;
  4. product-specific terms;
  5. these Terms of Service;
  6. product documentation;
  7. website materials.

32. Changes to These Terms

Omni Reasoning may update these Terms where necessary due to changes in:

  • the product;
  • the website;
  • the business model;
  • third-party requirements;
  • applicable law;
  • security requirements.

The updated version will be published on this page with a revised effective date and version number.

For material changes affecting product access, User or Customer obligations, available functionality, or liability, Omni Reasoning may require acceptance of the revised Terms.

Continued use of the product after the User or Customer has been presented with revised Terms and the revised Terms have taken effect constitutes acceptance of those Terms, unless applicable law requires a different procedure.

Changes affecting only public website use may take effect upon publication.

33. Governing Law and Disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles.

Mandatory consumer rights and other legal protections that cannot lawfully be excluded remain unaffected.

Before commencing court proceedings, the parties must make a reasonable attempt to resolve the dispute through written communication.

If the dispute is not resolved, it will be submitted to the competent court determined under applicable law.

34. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect.

The invalid or unenforceable provision will be enforced to the maximum extent legally permitted or replaced with an enforceable provision that most closely reflects its original commercial and legal purpose.

35. No Waiver

Failure or delay in exercising a right does not constitute a waiver of that right.

A decision not to enforce a provision on one occasion does not prevent its later enforcement.

36. Assignment

The User or Customer may not assign or transfer rights or obligations under these Terms without Omni Reasoning’s prior written consent.

Omni Reasoning may assign or transfer its rights and obligations in connection with:

  • a reorganization;
  • a sale of the business;
  • a transfer of the product;
  • an investment transaction;
  • a transfer of assets;
  • a corporate restructuring,

subject to applicable law.

37. Entire Agreement

These Terms, together with applicable product-specific terms, the Privacy Policy, any Data Processing Agreement, and any separate written agreements, constitute the contractual framework between the User or Customer and Omni Reasoning regarding use of the relevant functionality.

Public statements, presentations, demonstrations, and marketing materials do not modify these Terms unless the relevant commitment is expressly confirmed in writing by Omni Reasoning.

38. Language

These Terms may be published in multiple languages.

Where different language versions conflict, the English version will prevail unless applicable law or a separate written agreement requires otherwise.
